Paychex Financial Advisor Retirement Services Promotion – Terms & Conditions

The Paychex Financial Advisor Retirement Services Promotion (the “Promotion”) will run from August 1, 2025, until January 31, 2026 (the “Promotion Period”), unless terminated earlier by Paychex, Inc. (“Paychex”), and is subject to the following terms and conditions. The Promotion will consist of six (6) months of free 401(k) setup fees, monthly administrative fees and per participant fees for Eligible Clients (as defined below) who are referred to Paychex by a financial advisor during the Promotion Period.

An “Eligible Client” is a client that: (1) is not currently receiving payroll services from Paychex and does not sponsor, maintain, or participate in a Paychex 401(k) plan; (2) is referred to Paychex by a financial advisor during the Promotion Period; (3) enters into a payroll services agreement with Paychex for either the Paychex Flex® Enterprise, Pro, Select, or Express payroll services package (the “Payroll Services”); (4) prior to running a payroll with Paychex, elects to participate in the Paychex Pooled Employer 401(k) Plan (the “Pooled Employer Plan Services”) or adopts a single employer 401(k) plan for which Paychex provides recordkeeping services (the “Single-Employer Plan Services”) (each, a “Plan” and, collectively, “Retirement Services”) and enters into the applicable retirement services agreement with Paychex; (5) processes its first payroll with Paychex during the Promotion Period and continues to process payroll with Paychex for six (6) consecutive months; and (6) commences Retirement Services with Paychex prior to processing payroll with Paychex and continues Retirement Services with Paychex for six (6) consecutive months.

Paychex will waive 401(k) setup fees, monthly administrative fees and per participant fees for an Eligible Client’s Plan in months 1-6 following commencement of Retirement Services (the “Waiver Period”) for so long as the Eligible Client continues to receive both Payroll Services and Retirement Services during the Waiver Period. Client must be processing payroll and must be enrolled in Retirement Services with Paychex to have its 401(k) fees waived, and any unused month within the Waiver Period is not redeemable in U.S. currency or for any other entity. For the avoidance of doubt, an Eligible Client will become immediately responsible for 401(k) setup fees, administrative fees and per participant fees if the Eligible Client terminates Payroll Services with Paychex prior to the end of the Waiver Period. Owner-only 401(k) plans, IRAs and retirement services included products are not available for this Promotion. The Promotion applies only to 401(k) setup fees, monthly administrative fees and per participant fees, and Eligible Clients will be solely responsible for all other fees due for services. The Promotion cannot be combined with any other offer and is a limited time offer that is only available during the Promotion Period.
